Ayla Manager

Terms of Service

Effective date: July 1, 2026. Version: 2026-07-01.

These Terms of Service govern access to and use of Ayla Manager and Ayla, an AI assistant for short-term rental operations. By creating an account, accessing the service, or using any Ayla feature, you accept these Terms and the Privacy Policy on behalf of yourself and any organization or property you manage.

1. Service role

Ayla helps property owners and managers organize property information, respond to guest questions, manage WhatsApp conversations, create alerts, and maintain reusable property knowledge. Ayla is an operational software tool. It is not a property manager, broker, insurer, emergency service, legal adviser, tax adviser, medical adviser, security service, or financial adviser.

2. Owner responsibility

You are fully responsible for the properties, listings, guest communications, instructions, house rules, recommendations, prices, refunds, approvals, access details, safety information, and any content you enter into Ayla. You must review, correct, and keep property information accurate. You are responsible for decisions made from Ayla outputs and for all obligations owed to guests, platforms, landlords, building administrations, regulators, and service providers.

3. AI limitations

Ayla uses automated systems and third-party AI providers. AI responses may be incomplete, inaccurate, delayed, mistranslated, or inappropriate. Ayla may misunderstand messages, miss context, fail to escalate, over-escalate, or provide an answer based on outdated or incorrect property data. You must not rely on Ayla as the sole source for emergency, safety, access, legal, payment, refund, health, or high-risk decisions.

4. Guest communication and shared chats

You authorize Ayla to send messages to guests through connected channels such as WhatsApp. Guest conversations may be visible to account users and property owners. You are responsible for obtaining any permissions, disclosures, and consents required by law or platform rules before using Ayla with guests.

5. Third-party services

Ayla may depend on providers including hosting services, AI model providers, WhatsApp or Twilio, Stripe, email providers, analytics, and other infrastructure. Their availability, pricing, policies, delivery, compliance, and failures are outside Ayla's control. You are responsible for your accounts with those providers and for complying with their terms.

6. Payments and subscriptions

Paid plans, trials, renewals, cancellations, taxes, and payment processing may be handled by Stripe or another payment provider. Unless required by law, fees already paid are non-refundable. We may change pricing, plans, limits, features, or billing rules with notice where required.

7. Prohibited use

You may not use Ayla to violate laws, platform rules, privacy rights, intellectual property rights, or anti-spam rules. You may not upload unlawful, discriminatory, abusive, deceptive, unsafe, or infringing content. You may not attempt to reverse engineer, overload, scrape, bypass security, misuse APIs, or use Ayla to make automated high-risk decisions without human review.

8. Availability and changes

The service is provided on an "as is" and "as available" basis. We may modify, suspend, discontinue, limit, or update the service at any time. We do not guarantee uninterrupted service, error-free responses, message delivery, data recovery, integrations, uptime, or compatibility with every platform or provider.

9. Data and content license

You retain ownership of the content you submit. You grant Ayla the rights needed to host, process, transmit, display, analyze, transform, and use that content to provide, secure, improve, and support the service, including through third-party providers acting on our behalf.

10. Limitation of liability

To the maximum extent permitted by law, Ayla, its owners, operators, employees, contractors, and providers will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, or for losses involving bookings, guests, property damage, refunds, access, safety incidents, provider outages, AI mistakes, or business interruption. To the maximum extent permitted by law, total liability for any claim is limited to the amount you paid for the service in the three months before the event giving rise to the claim.

11. Indemnity

You agree to defend, indemnify, and hold harmless Ayla and its owners, operators, employees, contractors, and providers from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your properties, guest communications, content, misuse of the service, violation of these Terms, violation of law, or disputes with guests or third parties.

12. Termination

We may suspend or terminate access if we believe you violated these Terms, created risk, failed to pay, misused the service, or used Ayla in a way that may harm guests, third parties, providers, or the product. You may stop using the service at any time.

13. Changes to terms

We may update these Terms. Continued use after an update means you accept the new version. If an update materially changes your obligations, we will provide notice where required.
